1. Acceptance of Terms

By registering for, accessing, or using the Services, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with and be bound by these Terms. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

LOGIX POS LLC provides point-of-sale software, payment processing integration, inventory management, reporting tools, and related merchant services ("Services"). The specific features and functionality available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to you.

3. Account Registration

To access the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities conducted under your account

LOGIX POS LLC reserves the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Subscription Plans and Payment

4.1 Fees

Use of the Services requires payment of applicable fees as described in your selected subscription plan. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified in writing.

4.2 Billing

Fees are billed in advance on a monthly or annual basis, depending on your plan. You authorize LOGIX POS LLC to charge your designated payment method automatically at each renewal period.

4.3 Changes to Fees

We may adjust pricing with at least 30 days' written notice. Continued use of the Services after a price change constitutes your acceptance of the new pricing.

4.4 Late Payments

Unpaid balances may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend Services for non-payment.

5. Permitted Use and Restrictions

You may use the Services solely for lawful business purposes. You agree not to:

• Use the Services to process fraudulent, illegal, or unauthorized transactions
• Reverse engineer, decompile, or disassemble any portion of the Services
• Resell or sublicense the Services without prior written consent
• Upload viruses, malware, or any malicious code
• Violate any applicable local, state, federal, or international laws
• Use the Services to infringe upon intellectual property rights of others
• Interfere with or disrupt the integrity or performance of the Services

6. Payment Processing

LOGIX POS LLC integrates with third-party payment processors to facilitate transactions. By using our payment processing features, you also agree to the terms and conditions of those third-party processors. LOGIX POS LLC is not responsible for errors, outages, or failures on the part of third-party payment processors.

You are solely responsible for ensuring that your use of payment processing features complies with all applicable laws, including PCI DSS compliance requirements.

7. Intellectual Property

All content, software, trademarks, logos, and materials comprising the Services are owned by or licensed to LOGIX POS LLC and are protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable license to use the Services solely as permitted by these Terms.

8. Confidentiality and Data

You retain ownership of all data you input into the Services ("Customer Data"). By using the Services, you grant LOGIX POS LLC a limited license to process your Customer Data solely to provide the Services. We will handle your data in accordance with our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LOGIX POS LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGIX POS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to LOGIX POS LLC in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless LOGIX POS LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate the agreement with 30 days' written notice. LOGIX POS LLC may terminate or suspend your access immediately and without notice if you materially breach these Terms.

Upon termination, your right to use the Services ceases immediately. We will provide you with a reasonable opportunity to export your Customer Data for 30 days following termination, after which we may delete it in accordance with our data retention policies.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association's commercial arbitration rules.

14. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice within the Services at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
